1. Introduction Welcome to Vibe-Check, a software services provider specializing in debugging, troubleshooting, code review, and deployment assistance. 2. Services Provided We offer the following services: Debugging and Troubleshooting: Identifying and resolving issues in your code. Code Review: Evaluating and suggesting improvements to the quality and structure of your code. Deployment Assistance: Helping with the deployment of your software to production environments. These services will be delivered through email, virtual meetings, and remote desktop assistance. We will decide on a case-by-case basis which technologies and programming languages are supported.
3. Eligibility and Account Registration Our services are available to anyone who requires our assistance. No account is needed to access our services. When using our services, customers are required to provide certain personal information, such as contact data and code that we need to interact with. We store this data in compliance with German Data Protection Laws (GDPR).
4. Payment Terms No payment is required until an offer is created. After the initial consultation, we will send a detailed offer. Payment: Payments are one-time and are due upon acceptance of the offer. Payment Methods: We accept payments via Venmo, PayPal, and Cryptocurrency. Refund Policy: Since our services are rendered online, no refunds are possible once the service is delivered. Regarding taxes, we comply with German tax laws. International customers, including those in the U.S., may be subject to applicable taxes in their jurisdiction. It is the customer's responsibility to understand and comply with their local tax regulations.
5. Limitations of Liability We are not liable for any issues or damages related to the customer’s software or code, as we act only on behalf of the customer and provide services per their instructions. We do not provide services for any illegal activities, including but not limited to fraudulent activities, the use of malicious code, or violation of third-party rights.
6. Ownership and Intellectual Property The customer retains full ownership of their code. We do not claim any rights over the customer's intellectual property, and we will not use or share their code without explicit permission outside the scope of the services rendered.
7. Data Privacy and Collection We collect the following personal data: Contact Information: Name, email address, and other necessary contact details. Code: The customer’s code that we need to interact with in order to provide our services. Payment Information: For processing payments. By using our services, you agree to our Privacy Policy, which is included as part of the contract when signing for service provision. All customer data is stored and processed in compliance with GDPR and applicable data protection laws.
8. Warranties and Disclaimers We do not provide any warranties or guarantees regarding the results of our services. We do not guarantee that all issues will be fixed or that there will be no further errors after our intervention. By using our services, you agree to waive any claims related to our services. Our services are provided "as-is," and we disclaim all liability to the maximum extent permitted by law. We will not be held liable for any damages, losses, or issues arising from the use of our services.
9. Support and Maintenance Once the service is delivered and the customer’s issue has been resolved, no further support is included unless explicitly stated in the contract. We do not provide ongoing maintenance or post-service support as part of our standard offerings.
10. Governing Law and Dispute Resolution This Agreement will be governed by the laws of Germany. Any disputes arising out of or related to these Terms of Service shall be resolved under the jurisdiction of the courts in Germany. For international customers, including those in the United States, you agree that all legal matters will be handled in Germany, and you consent to the jurisdiction of German courts.
11. Changes to Terms of Service We reserve the right to modify these Terms of Service at any time. Changes to the ToS will take effect immediately upon posting on our website. Customers are encouraged to review these terms periodically. If you continue using our services after any changes to the ToS, it is deemed that you accept the updated terms. No specific notification will be sent about updates, but you may request the current version of the ToS at any time.
12. Termination of Service Since our services are offered on a one-time basis, there is no ongoing contract or service that can be "terminated." Once the service is completed, the engagement will end.
13. Miscellaneous Force Majeure: Neither party will be held liable for failure or delay in performing their obligations if such failure or delay is caused by events beyond their control, including but not limited to natural disasters, strikes, or technical issues. Severability: If any part of these Terms of Service is found to be invalid or unenforceable, the rest of the terms will remain in full effect. Entire Agreement: These Terms of Service represent the entire agreement between you and Vibe-Check and supersede any prior agreements or understandings, whether written or oral, regarding the subject matter.
